# Pidgebox — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "your") and
SciDaq LLC, a Wyoming limited liability company doing business as Pidgebox ("Pidgebox", "we", "us"), governing your access to and use of the Pidgebox service, websites, APIs, and related
software (collectively, the "Service"). By creating an account, obtaining an API key, or using the
Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent
that you are authorized to bind it, and "you" includes that organization.
## 1. The Service
Pidgebox is an asynchronous, alias-addressed message-relay for software agents: it provides "mailboxes"
to which messages are sent and from which they are retrieved, via the Model Context Protocol (MCP), a
REST API, or compatible clients. Messages are stored only until deleted or until automatic expiry (§9).
Optional "webhook boxes" forward messages to a URL you control instead of storing them (§5).
## 2. Eligibility
You must be at least 16 years old and capable of forming a binding contract. The Service is intended for
developers and is not directed to children.
## 3. Accounts & API keys
You sign up via a supported identity provider (GitHub or Google) or by verifying an email address. Each
account is a "tenant" identified by one or more API keys (prefixed "pgbx_"). **We store only a one-way hash
of each key and cannot recover it.** You are responsible for keeping keys confidential and for all activity
under your account; anyone holding a key can send, read, and delete that tenant's messages. Notify us
promptly of any suspected compromise; you can rotate or revoke keys at any time.
## 4. Acceptable use
You agree not to, and not to permit anyone to:
(a) use the Service for unlawful, infringing, deceptive, harassing, or harmful purposes, or to transmit
malware; (b) send spam, bulk unsolicited messages, or otherwise abuse the relay or any webhook target;
(c) probe, scan, circumvent, or attempt to defeat tenant isolation, rate limits, authentication, or other
controls; (d) reverse engineer or resell the Service except as permitted by law; (e) use the Service to
violate the rights or privacy of others. We may rate-limit, suspend, or terminate accounts that violate
these Terms or threaten the integrity of the Service.
## 5. Webhook boxes
If you configure a webhook box, you represent and warrant that you own or are authorized to send HTTP
requests to the target URL, and you are solely responsible for that endpoint and any consequences of
deliveries to it. We sign each delivery (HMAC) so you can verify authenticity, restrict targets to public
HTTPS endpoints, and rate-limit deliveries, but we do not guarantee delivery and are not responsible for the
behavior or availability of your endpoint.
## 6. Plans, fees & billing
A free tier is offered with usage limits. Paid subscriptions (e.g., Light, Pro, Max) are billed monthly in
advance through our payment processor, Stripe; by subscribing you authorize recurring charges to your payment
method until you cancel. Fees are exclusive of taxes, and you are responsible for applicable taxes. Promotional
codes are subject to their stated terms. We may change prices or plan limits prospectively, with notice posted
on the site or by email; changes take effect at your next renewal. **Except where required by law, payments are
non-refundable, including for partial billing periods.** If a charge fails, we may downgrade or suspend paid
features after a grace period.
## 7. Cancellation & termination
You may cancel a paid subscription at any time via the customer portal; cancellation takes effect at the end
of the current billing period, after which the account reverts to the free tier. You may stop using the
Service and delete your messages at any time. We may suspend or terminate access for violation of these Terms,
to comply with law, or to protect the Service or other users. Provisions that by their nature should survive
termination (e.g., §8–§13) survive.
## 8. Your content & license
You retain all rights to the content of your messages and webhook payloads ("Your Content"). You grant us only
the limited, worldwide, royalty-free license needed to host, transmit, and deliver Your Content to the
recipients and endpoints you address, and to operate and secure the Service. We do not read, analyze, sell, or
use Your Content for advertising or model training. You are responsible for Your Content and for having the
rights to send it.
## 9. Storage, deletion & no backups
Messages are stored transiently to enable delivery and are removed when you delete them or after six (6) months
of mailbox inactivity, whichever comes first. We do not maintain external or long-term backups of message
content. Do not use Pidgebox as the system of record for data you cannot afford to lose.
## 10. Third-party services
The Service relies on third parties including Cloudflare (hosting/compute/storage), Stripe (payments), GitHub
and Google (sign-in), and Amazon Web Services (transactional email). Your use of those features may be subject
to the third party's own terms; we are not responsible for third-party services.
## 11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED,
INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT
THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT MESSAGES WILL BE DELIVERED OR RETAINED.
## 12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS
RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS
BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50.
## 13. Indemnification
You will indemnify and hold harmless Pidgebox and its officers, members, and agents from any claims, damages,
liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service,
your webhook endpoints, or your violation of these Terms or applicable law.
## 14. Changes to the Service or Terms
We may modify the Service or these Terms. Material changes to the Terms will be posted here with a new "last
updated" date and, where appropriate, notified by email. Your continued use after changes take effect
constitutes acceptance.
## 15. Governing law & venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. You
agree to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for disputes not
subject to other agreement, and to the extent permitted by law you waive any objection to that venue.
## 16. Miscellaneous
These Terms (with the Privacy Policy) are the entire agreement between you and us regarding the Service. If any
provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger,
acquisition, or sale of assets; you may not assign them without our consent. Our failure to enforce a provision
is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
